Water Treatment M&A, Due Diligence & Divestiture Advisory
Independent technical and commercial advisory for private equity firms, strategic acquirers, lenders, and owners buying, selling, or combining water treatment businesses. We assess what is actually inside the business — accounts, programs, chemistry, people, and liabilities — so the deal is priced on reality.

What Financial Diligence Does Not Show You
Water treatment businesses are valued on recurring account revenue, but the quality of that revenue depends on things that do not appear in the financial statements: whether programs are technically sound or simply under-dosed, how dependent accounts are on one or two field representatives, whether the chemistry relies on a single toll blender or a product line the buyer will retire, and how much Legionella and equipment-damage liability is sitting in the account base.
Technical due diligence answers those questions. We review account-level program design and service records, water chemistry performance, contract terms and pricing, formulation and supply dependence, regulatory and compliance exposure, and the capability of the technical and field team. The output is a plain assessment of risk, upside, and integration effort that sits alongside the financial, legal, and quality-of-earnings work.
IWA works for either side of a transaction. For acquirers, that means diligence before signing and integration after close. For owners planning a sale, preparation starts months to years ahead of going to market: strengthening margin and program quality, reducing key-person dependence, documenting technical capability, and positioning the business for the buyers most likely to pay for it. We work alongside your investment banker, broker, counsel, and accountants, adding the technical and operational view they do not have.
Transaction Support
- Buy-side technical due diligence — program adequacy, service quality, water chemistry performance, and technical risk across the account base
- Commercial due diligence — account concentration, contract terms, pricing and margin by account and segment, churn risk, and growth headroom
- Portfolio and supply review — formulation ownership, toll-blending and raw material dependence, and overlap with the acquirer's product lines
- Liability and compliance exposure — Legionella and ASHRAE 188 program status, equipment-damage risk, and open performance disputes
- People and capability assessment — field and technical team depth, key-person dependence, and retention risk
- Sell-side preparation — starting months to years before a sale: margin improvement, program standardisation, key-person risk reduction, and documentation that supports valuation
- Post-merger integration — product line rationalisation, program and reporting standardisation, and technical training for combined teams
- Carve-outs and divestitures — separating a water treatment business or product line and defining what transfers with it

Questions Buyers, Investors & Owners Ask
Are you an investment banker or business broker?
No. Industrial Water Advisory provides technical, commercial, and operational advisory rather than brokerage, and works alongside the banker, broker, counsel, and accountants on a transaction.
Do you work for buyers or sellers?
Either, on a given transaction. IWA advises acquiring parties on due diligence and integration, and helps owners prepare a water treatment business for sale, typically starting months to years before going to market so improvements show up in the numbers buyers see.
What does technical due diligence on a water treatment company review?
Account-level program design and service records, water chemistry performance, contract terms and pricing, formulation and supply dependence, Legionella and equipment-damage exposure, and the depth of the technical and field team.
Can you work to a deal timetable?
Yes. Diligence scope is set against the transaction timetable and data-room access, with the highest-risk questions answered first so findings can inform price and terms.
How is confidentiality handled?
Every engagement is under a non-disclosure agreement, and conflicts are checked before work begins. Information from one transaction is never used in another.
Do you help after the deal closes?
Yes. Post-merger integration support covers product line rationalisation, standardising programs and reporting, and technical training for the combined field team.
